1. LLC Formation Process

Step 1: Articles of Organization Filing

  • We prepare and file the Articles of Organization with the Wyoming Secretary of State.

  • Once approved, this formally establishes your LLC.

Step 2: Employer Identification Number (EIN)

  • We obtain an EIN from the IRS, which is required for banking, tax filing, and business operations.

Step 3: Template Operating Agreement

  • You will receive an Operating Agreement structured specifically for digital asset holding companies.

  • This template defines ownership, distributions, and internal management for your LLC.

Step 4: Registered Agent Services

  • Your LLC must maintain a Registered Agent in Wyoming, which we provide as part of our service.

  • This ensures compliance with state regulations and proper handling of legal notices.

2. Fees: Initial and Ongoing Costs

3. Ongoing LLC Maintenance Responsibilities

To keep your LLC in good standing with WY, we handle state compliance tasks for you:

Annual Report Filing

  • Due each year to the Wyoming Secretary of State. Included in our $500 annual fee.

Registered Agent Renewal

  • Has to be renewed each year to ensure compliance.

Banking & Financial Compliance (Handled by You)

  • Maintain a separate bank account for the LLC.

  • Keep records of all transactions for accounting and tax reporting purposes.

Tax Filings & CPA Consultation (Handled by You)

  • Wyoming state compliance is covered under our annual fee; however, federal tax filings and any additional state filings based on your residency remain your responsibility.

  • We recommend consulting a CPA to ensure compliance and maximize deductions.

4. Beneficiaries and Estate Planning


If you wish to name beneficiaries (e.g., spouse or children) to inherit LLC assets, we can discuss connecting you with an estate planning attorney like Rustin Diehl at rustin@allegislaw.com to discuss establishing a trust or a TOD (Transfer on Death) document. Note: Any legal diligence is additional and not included.

• Enter the desired name for your LLC.

• Avoid using your full name to maintain anonymity.

• It is recommended not to include terms like “crypto” or “digital assets” if privacy is a concern.

• Alternative Name(s) (if primary is unavailable):

• List 1-2 backup names in case your first choice is unavailable.

• Full Name: Enter your legal first and last name.

• Address: Enter your home address. (You will be appointed a registered agent so your information will remain private)

• Email Address: Provide a valid email address to receive confirmation and further instructions.

• Phone Number: Enter a phone number where you can be reached if needed.

Member Information (Single-Member Recommended)


  • Number of Members: Indicate how many owners (members) the LLC will have.

  • Member Name(s) & Percentage Ownership:

  • If there is more than one member, specify the names and ownership percentages.
